Hugh specializes in business reorganization and finance transactions that involve both profit and nonprofit corporations. He has extensive experience in representing corporations and other business clients, in negotiating and drafting their commercial contracts, and in financing their commercial activities.

Relevant Experience

  • Negotiated the separate but concurrent sale of a 70-store chain of convenience stores, the petroleum gas transport business servicing this chain of stores and other third party dealers, and the distributor's propane gas and fuel oil delivery business to several buyers.

  • Negotiated the construction, long-term financing and numerous refinancings for the construction and expansion of a 20-story high rise, life-care facility located on the Chesapeake Bay, the construction contract for this facility and the life-care agreements used by residents to purchase their units.

  • Negotiated the leveraged buyout from a British concern of its industrial gas equipment business by several key employees and the Bank financing necessary to consummate this transaction.

  • Negotiated the formation of a joint venture limited liability company between Virginia’s largest primary care group and Trigon Blue Cross/Blue Shield to provide primary care at
    ambulatory care centers in the Richmond and South Hampton Roads areas of Virginia.

  • Negotiated the integration of several large primary care and specialist groups to provide outpatient medical care for Johns Hopkins Health System Corporation and The Johns Hopkins University in the Baltimore metropolitan area of
    Maryland.

  • Organized U.S. corporate subsidiaries of many large, foreign organizations opening offices in Virginia.

  • Negotiated the purchase of a number of automobile franchises with attendant financing.

  • Negotiated and documented a long-term agreement for the distribution of a U.S. manufacturer's industrial products throughout South America by several European companies.

  • Reorganized the debt structure of large farming operation by negotiating new long-term debt and line of credit financings with financial institutions, the extension of existing commercial debt and the subordination of existing debt to Farmers Home Administration.

  • Handled numerous private placements of debt and equity securities for small companies and negotiated numerous asset based loans and lines of credit for these businesses.

  • Organized all types of business concerns and negotiated numerous shareholder agreements to facilitate the organization and operation of close corporations.

  • Organized a health care system consisting of a holding company and a number of nonprofit and for-profit subsidiaries which included bylaw provisions to insure holding company control and prepared filings to obtain Internal Revenue Service approval.

  • Negotiated numerous contracts between hospitals, medical schools and various physician and health care nonprofit and for-profit groups to accomplish a variety of health care objectives within the rules prohibiting private inurement, private benefit and fraud and abuse payments.

  • Negotiated the integration of two large primary care physician groups with a well diversified group of specialists to form a Virginia professional limited liability company in Richmond, Virginia in connection with a sale of assets to PhyCor, Inc. (one of the largest for-profit physician management companies in the United States) with attendant management agreements with two large physician management companies.

  • Negotiated the formation of a joint venture limited liability company between Virginia’s largest primary care group and Trigon Blue Cross/Blue Shield to provide primary care at ambulatory care centers in the Richmond and South Hampton Roads areas of Virginia.

  • Negotiated the integration of several large primary care and specialist groups to provide outpatient medical care for Johns Hopkins Health System Corporation and The Johns Hopkins University in the Baltimore metropolitan area of Maryland.

  • Represented medical staffs, their committees and representatives in over 40 proceedings involving physicians whose requests for privileges were denied or who had their privileges suspended or revoked, including hearings by various committees as a result thereof and the appeals of initial decisions through the medical staff appellate review system with due regard for potential antitrust liability.

  • Negotiated and drafted participating physician agreements for hospital and joint venture center of excellence programs that provide designated services on a package price or global fee basis.

  • Represented numerous clients in contracting with managed care organizations of all types (HMOs, PPOs, EPOs and self-insured programs), their administrative agents and physicians and other health care providers.

  • Negotiated and completed the sale of diagnostic facility for physician partnership to avoid fraud and abuse liability.

  • Counseled clients regarding issues dealing with the HIV virus, AIDS and Hepatitis B diseases, and the issues of mandatory testing of hospital patients, physician practice patients and members of hospital medical staffs involved with invasive procedures.

  • Dealt with numerous situations involving death and dying, including conferences with physicians and patients to implement decisions to withdraw or terminate life support systems.

  • Provided opinions and legal advice concerning consents for all types of medical treatment for persons under disability due to mental or physical illness or disorders, including advice to persons acting as agents under durable powers of attorney and living wills and requests to state courts for orders authorizing treatment.
